Sanmina-SCI Corp. (SANM), formerly Sanmina Corp., is an independent provider of customized integrated electronic manufacturing services, known as EMS, including turnkey electronic assembly and manufacturing management services, to original equipment manufacturers, or OEMs, in the electronics industry. Its electronics manufacturing services consist primarily of the design and manufacture of complex printed circuit board assemblies using surface mount and pin-through-hole interconnection technologies, the manufacture of custom designed backplane assemblies, fabrication of complex multi-layered printed circuit boards, the manufacture of custom cables and wire harness assemblies, the manufacture of electronic enclosure systems that house large electronic systems and subsystems, testing and assembly of completed systems, and global order fulfillment. In addition to the services above, turnkey manufacturing management also involves procurement and materials management, as well as consultation on printed circuit board design and manufacturing. SANM's electronic assembly services involve the manufacture of complex printed circuit board assemblies using surface mount (SMT) and pin-through-hole (PTH) interconnection technologies; the manufacture of custom-designed backplane assemblies and complex multilayer printed circuit boards; and the testing and assembly of completed systems. SMT and PTH printed circuit board assemblies are printed circuit boards on which electronic components, such as integrated circuits, capacitors, microprocessors and resistors have been mounted. Backplane assemblies are large printed circuit boards on which connectors are mounted to receive and interconnect printed circuit boards and other electronic components. SANM locates its facilities close to customers, allowing it to meet their requirements on a quick-turn and cost-effective basis. The company manufactures its products in 31 decentralized plants, consisting of 24 assembly facilities and seven printed circuit board fabrication facilities. December 6, 2001, SANM and SCI Systems, Inc. (SCI) announced they had completed the merger of the two companies after receiving approval from their respective stockholders of matters related to the merger, including the change of Sanmina's corporate name to Sanmina-SCI Corp. Under the terms of the merger, SCI stockholders received 1.36 shares of SANM Common stock for each share of SCI Common stock. INCORPORATED in Delaware in May 1989 as Sanmina Holdings Inc. to acquire Sanmina Corp. (predecessor) for approximately $30,000,000 July 19, 1989. April 21, 1993, merged predecessor and adopted Sanmina Corp. as its title. Name changed to Sanmina-SCI Corp. Dec. 10, 2001, following the merger with SCI Systems, Inc. on Dec. 6, 2001.
