Unlike many other semiconductor producers, Vitesse Semiconductor Corp. (VTSS), manufactures high-speed integrated circuits (ICs) utilizing digital gallium arsenide (GaAs) rather than silicon. Gallium arsenide-based technology offers the potential for significant speed improvements over silicon-based technologies, because electrons can travel many times faster in GaAs than in silicon. VTSS has developed a proprietary high-integration GaAs-process technology to manufacture ICs that take advantage of the faster speeds inherent in GaAs and offer performance advantages over ICs manufactured using silicon-based CMOS, BiCMOS and ECL IC process technologies. The company's products address the needs of high- performance systems manufacturers demanding a combination of high- speed, high-complexity and low-power dissipation. VTSS principally targets the high-performance telecommunications markets, particularly in fiber-optic applications requiring transmission rates as high as 2.5 gigabits per second, high-speed switching networks and direct digital synthesis; data communications markets, where transmission of large amounts of data over serial channels with data rates in excess of one gigabit per second is required; test and instrument markets for such products as logic testers, signal format generators, test pin controller logic, digital-to-analog signal converters and serialization circuits; and defense and aerospace markets where products are used in special purpose computer systems, digital signal processing and image processing. In November 1998, VTSS acquired Vermont Scientific Technologies, Inc., a provider of integrated circuit design services for $13 million in cash and $2.7 million in notes. In January 1999, VTSS issued 327,628 Common shares (worth some $16.1 million at the time) in exchange for all of the outstanding shares of Serano Systems Corp., a provider of enclosure platform management solutions for fibre channel and SCSI server and storage subsystems.
